What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, when a franchisee is required to send a notice to Cicis via both email and traditional mail or carrier, the notice is officially considered delivered only when it has been delivered by both methods. This means that the franchisee must ensure that the notice is successfully sent and received through both channels to meet the notification requirements.
For notices sent via email, delivery is considered to occur when the email is sent. For notices sent via hand delivery, mail, or a carrier, delivery is deemed to occur at the earliest of three conditions: (1) actual delivery, (2) the next business day after prepaid deposit with a nationally recognized carrier for overnight or express delivery, or (3) three business days after prepaid deposit with the U.S. Postal Service for registered or certified mail.
This dual-method requirement ensures that Cicis receives important communications, reducing the risk of a notice being missed due to technical issues with one method or another. It places the onus on the franchisee to confirm that both the email and the mailed notice have been successfully delivered to Cicis to fully satisfy any contractual obligations for providing notice. Franchisees should maintain records of both email and mail delivery confirmations to provide evidence of compliance if needed.
