If Cicis grants a waiver, can it be revoked, and if so, under what conditions and with how much notice?

Cicis Franchise · 2025 FDD

Answer from 2025 FDD Document

We and you may by written instrument unilaterally waive or reduce any obligation of or restriction upon the other under this Agreement, effective upon delivery of written notice to the other or another effective date stated in the notice of waiver. Any waiver granted will be without prejudice to any other rights we or you have, will be subject to continuing review, and may be revoked at any time and for any reason effective upon delivery of 10 days' prior written notice.

What This Means (2025 FDD)

According to Cicis's 2025 Franchise Disclosure Document, any waiver that Cicis grants can be revoked. Cicis can revoke a waiver at any time and for any reason. To revoke a waiver, Cicis must provide the franchisee with 10 days' prior written notice.

This means that even if Cicis initially agrees to waive a certain requirement or obligation for a franchisee, they retain the right to reinstate that requirement later. The "any reason" clause gives Cicis broad discretion in deciding to revoke a waiver.

For a prospective franchisee, this highlights the importance of not relying too heavily on any waivers granted by Cicis. While a waiver may provide temporary relief or benefit, it is not a permanent change to the franchise agreement and can be withdrawn with only 10 days' notice. Franchisees should factor this uncertainty into their business planning and financial projections.
