What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, when the developer is different from the franchisee, the agreement must be signed by a guarantor. The document includes a table with signature lines for the developer, if different from the franchisee, and the guarantor(s).
This means that if the individual or entity entering into the Development Agreement is not the same as the one who will ultimately operate the Cicis franchise, a guarantor must also sign the agreement. The guarantor is essentially providing a guarantee that the developer will fulfill their obligations under the agreement.
Prospective franchisees should carefully consider who will act as the guarantor and ensure that the guarantor fully understands the obligations they are undertaking. It is also important to understand the implications if the developer fails to meet their obligations, as the guarantor may be held responsible.
