What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, franchisees are not permitted to make unauthorized copies of the Confidential Information. The FDD emphasizes the importance of maintaining the absolute confidentiality of this information both during and after the franchise agreement. Franchisees must implement reasonable procedures to prevent unauthorized use or disclosure. They can only share Confidential Information with individuals or entities specifically authorized by Cicis in advance, or with employees or contractors who need access to operate the restaurant, provided these individuals are under a strict duty of confidentiality. Cicis may also require franchisees to have their employees and contractors sign individual confidentiality agreements.
This restriction extends to preventing franchisees and their personnel from copying, recording, or reproducing any materials or information related to the Confidential Information, or making it available to unauthorized individuals. The Confidential Information includes growth and development plans, site selection criteria, training materials, system standards, vendor information, proprietary software, customer data, and financial performance data of Cicis Restaurants.

Franchisees must be diligent in safeguarding this information and ensuring that all employees and contractors are aware of and adhere to these confidentiality requirements.
