AGREEMENT
1. GRANT
A. Grant of Rights. In reliance on the Application Materials, we hereby grant you the right and license, and you hereby accept the right and obligation, to use the System (including the Marks) to develop, own and operate a Cicis Restaurant, of the type indicated on Attachment A or Attachment A-1 hereto, during the Term (defined below), at the Location (defined below), and strictly and solely in accordance with this Agreement. Your right and obligation to develop, own and operate a Cicis Restaurant is referred to herein as the "Franchise," and the Cicis Restaurant you develop and own under this Agreement is referred to herein as your "Restaurant."
- B. Entire Agreement. This Agreement and the attachments hereto constitute the entire, full, and complete agreement between us and you concerning the subject matter hereof and will supersede all prior related agreements between us and you; provided, however, that nothing in this or any related agreement is intended to disclaim the representations we made in the franchise disclosure document that we furnished to you. Except for those permitted to be made unilaterally by us hereunder, no amendment, change, or variance from this Agreement will be binding on either party unless mutually agreed to by the parties and executed by their authorized officers or agents in writing.
If we develop an Intranet, you will use our Intranet in accordance with all applicable Laws and in strict compliance with the standards, protocols, and restrictions that we include in the Manuals (including standards, protocols, and restrictions relating to the encryption of Confidential Information and prohibitions against the transmission of libelous, derogatory, or defamatory statements).
J. Branded E-mail. We reserve the right to require you to obtain from us and use an e-mail address associated with our registered domain name. If we require you to obtain and use an e-mail address, you must do so according to our then-current System Standards. You acknowledge and agree that we will have unrestricted access to all such e-mail accounts, and all documents, data, materials, and messages shared from or by such accounts. We may deactivate any such account or limit your or your users' access to it at any time. You acknowledge and agree that you will use such e-mail address only in connection with the operation of your Restaurant and in compliance with all Laws.

What This Means (2025 FDD)
According to the 2025 Cicis Franchise Disclosure Document, the franchisee has an obligation to adhere to the Franchise Agreement. Cicis grants the franchisee the right and license, and the franchisee accepts the right and obligation, to use the Cicis System, including the Marks, to develop, own, and operate a Cicis Restaurant. This must be done strictly and solely in accordance with the Franchise Agreement. The franchisee's right and obligation to develop, own, and operate a Cicis Restaurant is referred to as the Franchise.
The Franchise Agreement and its attachments constitute the entire agreement between Cicis and the franchisee concerning the subject matter and supersede all prior related agreements. Amendments or changes to the agreement must be mutually agreed upon and executed in writing by authorized officers or agents of both parties, except for those that Cicis is permitted to make unilaterally. The franchisee cannot waive claims under applicable state franchise law or disclaim reliance on statements made by Cicis in the franchise disclosure document.
Cicis may establish and maintain a website providing information about the System and products, over which it has sole discretion and control. If Cicis develops an internal communications network (Intranet), the franchisee must use it in accordance with all applicable laws and in strict compliance with the standards, protocols, and restrictions included in the manuals. Cicis reserves the right to require franchisees to use a branded email address associated with its registered domain name, with unrestricted access to such accounts and compliance with all laws.
