What This Means (2025 FDD)
According to Cicis's 2025 Franchise Disclosure Document, Cicis determines the content of the manuals provided to franchisees. Cicis also decides how often the manuals are updated, as well as the format in which the manuals are delivered or made available. The manuals contain mandatory specifications, standards, operating procedures, and rules that Cicis periodically prescribes for operating Cicis restaurants. The manuals also include suggested specifications, standards, and procedures, as well as information on the franchisee's obligations under the Franchise Agreement, which are referred to as the System Standards.
Cicis may periodically modify the manuals via memoranda and newsletters to reflect changes in System Standards. The master copy of the manuals that Cicis maintains is the controlling copy. The manuals and any passwords and access credentials are part of Cicis's confidential information and must be protected against improper use and disclosure.
Franchisees may disclose the manuals to their employees who need to know the contents, provided the employees are bound by written obligations of confidentiality. However, franchisees may not copy, duplicate, record, reproduce, distribute, or publish any part of the manuals or use their contents in any other business. Franchisees are responsible for maintaining their restaurant in a high degree of sanitation, repair, and condition and otherwise complying with all requirements set forth in the manuals.
