What This Means (2025 FDD)
According to Cicis' 2025 Franchise Disclosure Document, franchisees can disclose Confidential Information to specific individuals under certain conditions. Owners, employees, and independent contractors who need access to the Confidential Information to operate the Cicis restaurant are permitted to receive it. However, this is only allowed if these individuals are bound by the same confidentiality obligations as the franchisee.
Cicis requires that before disclosing any Confidential Information, the franchisee must ensure that the person receiving the information executes covenants similar to those outlined in Section 9.B of the franchise agreement. This means the recipient must agree to protect the confidentiality of the information and use it only for the purpose of operating the Cicis restaurant.
Furthermore, the franchisee is responsible for preventing unauthorized use or disclosure of Confidential Information by implementing reasonable procedures. The obligation to maintain confidentiality extends beyond the term of the franchise agreement, meaning that even after the agreement expires, terminates, or is transferred, the confidentiality covenants remain in effect. This ensures the continued protection of Cicis' proprietary information.
