- 21.12. "Responsible Broker" means the Principal Owner we approved who will oversee the Business operations, who will represent you in interacting with us, and who holds all the necessary real estate licenses for the Business. The Responsible Broker must successfully complete our initial training program and all mandatory follow-up training programs. The Responsible Broker is listed on Exhibit 1.
- 21.13. "System" means the CHRISTIE'S INTERNATIONAL REAL ESTATE system which includes luxury real estate brokerage products and services, and other related services that we may designate in the future under the Marks; the approved products and services; certain distinctive types of equipment (including the Computer System; the Confidential Information; marketing, business development, and advertising techniques; operating procedures; product and service quality standards; business methods; the Operations Manual; and other expertise that we supply throughout the term of this Agreement.
The parties have signed this Agreement on the Effective Date.

What This Means (2025 FDD)
According to the 2025 Christies International Real Estate FDD, the 'System' encompasses various elements, including marketing and advertising techniques. Specifically, the System includes luxury real estate brokerage products and services, approved products and services, certain equipment, confidential information, marketing, business development, and advertising techniques, operating procedures, product and service quality standards, business methods, the Operations Manual, and other expertise provided by Christies International Real Estate.
Christies International Real Estate may require franchisees to pay a monthly advertising fee, which would be deposited into an Advertising Fund. This fund is intended for the general promotion of the Marks and the System. Expenses paid from the Advertising Fund can include the development and operation of a call center, market research, customer retention, incentive programs, sales development programs, media planning and buying, creating advertising materials, public relations, technology investments, and digital marketing. Christies International Real Estate may also use up to 10% of the Advertising Fund to solicit new franchisees.
Christies International Real Estate determines the advertising methods, media, scope, content, and terms of marketing campaigns. Franchisees must ensure their local advertising and promotions conform to the Operations Manual and Brand Guidelines. Christies International Real Estate may also require franchisees to use provided advertising templates or materials. Franchisees are prohibited from conducting any business or advertising practice that injures other Christies International Real Estate businesses, the System, or the goodwill associated with the Marks.
