What This Means (2025 FDD)

According to Christies International Real Estate's 2025 Franchise Disclosure Document, a Principal Owner is defined as any individual or entity holding a direct or indirect ownership stake of 5% or greater in the franchisee's business. If the Principal Owner is a corporation or another entity besides a partnership, then a Principal Owner also includes a shareholder or owner with at least a 5% interest in that corporation or entity. If the Principal Owner is a partnership, then each general partner is considered a Principal Owner. If that general partner is an entity, then each owner with a 5% or greater interest in the general partner is also considered a Principal Owner.

The FDD also specifies the role of a 'Responsible Broker,' who must be a Principal Owner approved by Christies International Real Estate. This Responsible Broker is tasked with overseeing the business operations, serving as the main point of contact between the franchisee and Christies International Real Estate, and holding all necessary real estate licenses for the business. The Responsible Broker is required to complete Christies International Real Estate's initial training program and any mandatory follow-up training programs.

Notably, the Agent Support Director and Marketing Director are two positions that do not need to be filled by a Principal Owner. The Agent Support Director is responsible for providing support and guidance to the agents affiliated with the franchisee's business, particularly regarding Christies International Real Estate's business tools, training, and services. The Marketing Director collaborates with the Christies International Real Estate marketing team, implements local marketing initiatives, and enforces branding guidelines at the local level.

In summary, the Principal Owner definition is important for identifying who has significant financial interest and control in the franchise, and for designating the Responsible Broker who manages operations and liaises with Christies International Real Estate. While certain management roles can be held by non-owners, the Responsible Broker role is reserved for an approved Principal Owner, ensuring a direct link between ownership, oversight, and compliance with franchise requirements.
