What This Means (2025 FDD)

According to Christies International Real Estate's 2025 Franchise Disclosure Document, franchisees are restricted from certain actions regarding confidential information to protect the brand's competitive advantage and proprietary systems. The FDD defines "Confidential Information" as encompassing methods, techniques, data, marketing approaches, specifications, systems, software, and expertise related to operating and franchising Christies International Real Estate businesses. This includes the Operations Manual, Brand Guidelines, and the terms of the franchise agreement itself.

A key restriction is that franchisees do not acquire any ownership interest in the Confidential Information beyond the right to use it specifically for their Christies International Real Estate business. The document explicitly states that using or duplicating this information in any other business venture is considered an unfair method of competition. This prevents franchisees from leveraging Christies International Real Estate's proprietary knowledge to benefit other businesses, whether related or unrelated.

Upon termination or expiration of the franchise agreement, the franchisee faces further obligations. They must return all tangible forms of Confidential Information and destroy any other sources containing or reflecting such information, unless otherwise agreed with Christies International Real Estate. While franchisees may retain Confidential Information for legal, tax, and insurance purposes, this retained information remains subject to the confidentiality restrictions outlined in the agreement. These measures ensure that Christies International Real Estate's trade secrets and proprietary systems remain protected even after the franchise relationship ends.
