After signing the Non-Use, Non-Disclosure and Non-Competition Agreement, what access will Christian Brothers Automotive provide?

Once we have received the down payment on your franchise fee and a signed Non-Use, Non-Disclosure and Non-Competition Agreement (the current form of which is attached to this Disclosure Document at Exhibit F), CBAC will grant you online access to our Confidential Operations Manual which contains mandatory and suggested specifications, standards and procedures. This manual is confidential and remains our property. You will be obligated to keep this information confidential (Section 7.01). CBAC will modify the manual from time to time and furnish you with the modifications. You will be required to comply with the modified manual and with the provisions of the Franchise Agreement (Article 6).
ITEM 12. TERRITORY
Franchise Agreement
In conjunction with the establishment of your franchise you will be granted an exclusive geographic area, consisting of an identifiable geographic territory, which will be designated as your "Territory." You will operate from one location and must receive CBAC's permission before relocating; however, currently we do not allow relocation. You will not have the right to operate your franchise outside of your Territory. CBAC will not operate or grant franchises for a similar or competitive business within your area.

What This Means (2025 FDD)
According to the 2025 Christian Brothers Automotive FDD, after a prospective franchisee signs the Non-Use, Non-Disclosure and Non-Competition Agreement and pays the down payment on the franchise fee, Christian Brothers Automotive will grant online access to its Confidential Operations Manual. This manual contains mandatory and suggested specifications, standards, and procedures for operating a Christian Brothers Automotive franchise. The manual is considered confidential and remains the property of Christian Brothers Automotive. Franchisees are obligated to keep the information within the manual confidential.
Christian Brothers Automotive retains the right to modify the Confidential Operations Manual and will furnish these modifications to the franchisee. Franchisees are then required to comply with the modified manual and the provisions outlined in the Franchise Agreement. This ensures that all franchisees adhere to the most current operational standards and procedures set by Christian Brothers Automotive.
In addition to access to the Confidential Operations Manual, within 30 days of executing the Letter Agreement, Christian Brothers Automotive will provide franchisees with credentials to access the company's proprietary and confidential training materials. This access to training materials, along with the operations manual, is designed to equip franchisees with the knowledge and resources necessary to successfully launch and manage their Christian Brothers Automotive franchise.
