What This Means (2025 FDD)

According to Christian Brothers Automotive's 2025 Franchise Disclosure Document, if the franchisee is a corporation or other legal entity, they must furnish Christian Brothers Automotive with copies of several documents throughout the term of the agreement. These documents or their equivalents include the Articles of Incorporation or Formation, Bylaws, Minutes of Shareholders' Meetings, Minutes of Directors' Meetings, Written Consents, Shareholder Agreements, Regulations, Company Agreements, and all other governing documents as amended from time to time.

Additionally, the franchisee must provide a list of all officers, directors, shareholders, partners, members, and/or managers, along with any other documents that Christian Brothers Automotive may reasonably request, including any amendments to these documents. This requirement ensures that Christian Brothers Automotive remains informed about the current structure and management of the franchisee's business entity.

This level of required disclosure is more extensive than what is typically seen in many franchise systems. It places a significant responsibility on the franchisee to maintain and regularly update Christian Brothers Automotive with detailed information about their organizational structure and governance. A prospective franchisee should be prepared to comply with these requirements and maintain meticulous records of their company's organizational documents and any changes made to them.
