What This Means (2025 FDD)
According to the 2025 Christian Brothers Automotive Franchise Disclosure Document, the franchise agreement, along with any agreements executed at the same time, represents the complete understanding between Christian Brothers Automotive and the franchisee. This agreement takes precedence over any previous discussions, understandings, promises, or agreements, whether they were spoken or written.
Christian Brothers Automotive emphasizes that franchisees should conduct their own independent investigation of the business opportunity. Franchisees are entering the agreement based on their own due diligence, not because of any representations made by the franchisor's agents, officers, or employees that contradict the terms of the franchise agreement or any disclosure documents required by law.
This clause is a standard integration clause in franchise agreements. It aims to prevent disputes based on claims of prior agreements or understandings that are not explicitly included in the written contract. Prospective Christian Brothers Automotive franchisees should carefully review all terms and conditions in the franchise agreement and any related documents, as these documents will govern the relationship between the franchisee and franchisor.
