What This Means (2025 FDD)
According to the 2025 Christian Brothers Automotive Franchise Disclosure Document, the 'Effective Date' marks the beginning of the one-year term for the Commercial Sub-Lease Agreement. The agreement's duration is contingent upon the franchisee's adherence to the Minimum Performance Requirement outlined in Section 4 of the agreement.
Specifically, the Commercial Sub-Lease Agreement and the Franchise Agreement will automatically terminate if the franchisee fails to adequately reduce the Deficiency Gap during any three-month period, as detailed in Section 4(b). However, if the franchisee fully complies with Section 4 and meets the Minimum Performance Requirement, the agreement remains in full effect.
Christian Brothers Automotive retains the discretion to extend the term of both the Commercial Sub-Lease Agreement and the Franchise Agreement. This clause highlights the importance of understanding and meeting performance benchmarks to maintain the lease and franchise rights, while also acknowledging the franchisor's flexibility in extending the agreement under certain conditions.
