WHEREAS, CBAC desires to provide Franchisee Candidate with access to training materials (both online and written), the CBAC Confidential Operations Manual and CBA Connect, and other information developed and owned by CBAC, all of which contain know-how concerning the methods of operation of a CBAC franchise business and the CBAC franchise system, which CBAC considers to be confidential and proprietary information (all of the foregoing together with all login credentials, attachments, addenda, exhibits and other agreements related, described or referred to with respect to any of the foregoing is herein referred to as the "Confidential Information"); and
WHEREAS, in order to protect the confidentiality of the Confidential Information, CBAC requires Franchisee Candidate to make certain covenants of non-use, non-disclosure and noncompetition, as set forth herein.
NOW THEREFORE, for good and valuable consideration, including without limitation the execution of the Letter Agreement and CBAC's furnishing the Franchisee Candidate with the Confidential Information, the Franchisee Candidate has agreed and does hereby covenant and agree that:
- Non-Use and Nondisclosure Obligations. Franchisee Candidate covenants and agrees to keep the Confidential Information strictly confidential, and Franchisee Candidate will not, at any time (during the term of this Agreement or thereafter) without CBAC's prior written consent disclose the Confidential Information, whether in whole or in part, directly or indirectly, except as expressly permitted hereunder. What This Means (2025 FDD)
According to the 2025 Christian Brothers Automotive FDD, CBA Connect is identified as part of the Confidential Information provided to franchisee candidates before the execution of a Franchise Agreement. This Confidential Information includes training materials (both online and written), the CBAC Confidential Operations Manual, and CBA Connect, all of which contain proprietary know-how concerning the operation of a Christian Brothers Automotive franchise business and the Christian Brothers Automotive franchise system.
Before receiving access to these confidential materials, Christian Brothers Automotive requires franchisee candidates to agree to covenants of non-use, non-disclosure, and non-competition to protect the confidentiality of the Confidential Information. The franchisee candidate can only use the Confidential Information to receive training to operate a Christian Brothers Automotive franchise location. They are prohibited from disclosing the Confidential Information, whether in whole or in part, directly or indirectly, without prior written consent from Christian Brothers Automotive.
In essence, CBA Connect is a key component of the confidential and proprietary information that Christian Brothers Automotive provides to its franchisees. Franchisees need to understand that they are obligated to protect this information and use it solely for the purpose of operating their franchise. Failure to comply with these confidentiality obligations could result in legal and financial repercussions.
