What This Means (2024 FDD)

Based on the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, the provided excerpts discuss a "Waiver and Release of Claims" agreement required when a franchisee transfers their franchise or enters into a successor agreement. This agreement is made between CHOP5 Franchise LLC and the franchisee (along with any individual holding ownership interest). The document states that as a condition of CHOP5 Salad Kitchen's consent to the transfer or successor agreement, the franchisee and owner must execute the agreement. The agreement is made in consideration of CHOP5 Salad Kitchen's consent to the transfer or entering into a successor franchise agreement.

However, the excerpts provided do not specify whether this waiver explicitly includes a waiver of rights related to the payment of monies owed to Chop5 Salad Kitchen. The "Waiver and Release of Claims" agreement is tied to the transfer of the franchise agreement or entering into a successor agreement, suggesting it primarily addresses liabilities and obligations related to the franchise operations and the transfer process itself.

To fully understand the scope of the waiver, a prospective Chop5 Salad Kitchen franchisee should carefully review the complete "Waiver and Release of Claims" agreement (Exhibit H-3) and seek legal counsel. It is essential to clarify whether the waiver extends to any outstanding financial obligations, such as unpaid royalties, marketing fees, or other debts owed to the franchisor. Understanding the full implications of the waiver is crucial before signing any transfer or successor agreement.
