What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, Chop5 Salad Kitchen can terminate the Franchise Agreement without cause only if the franchisee and Chop5 Salad Kitchen mutually agree to terminate the agreement. This is a fairly standard clause in franchise agreements, allowing both parties to exit the agreement if both are in agreement.
This provision protects both Chop5 Salad Kitchen and the franchisee. It means that Chop5 Salad Kitchen cannot unilaterally terminate the agreement without a specific cause (such as a breach of contract by the franchisee) unless the franchisee consents. Similarly, the franchisee cannot force Chop5 Salad Kitchen to terminate the agreement.
Prospective franchisees should understand that this mutual agreement is the only scenario where Chop5 Salad Kitchen can terminate the agreement without cause. If a franchisee wishes to terminate the agreement outside of this mutual agreement, they may face penalties or legal challenges as outlined elsewhere in the Franchise Agreement.
