Confidential Information does not include any information that: (a) is now, or subsequently becomes, generally available to the public (except as a result of a breach of confidentiality obligations by you, Franchisee or Franchisee's owners, employees or other constituents); (b) you can demonstrate was rightfully in your possession, without obligation of nondisclosure, before the information was disclosed to you by us or Franchisee (or any person associated with us or Franchisee); (c) is independently developed by you without any use of, or reference to, any Confidential Information; or (d) is rightfully obtained from a third party who has the right to transfer or disclose such information to you without breaching any obligation of confidentiality imposed on such third party.

What This Means (2024 FDD)

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, there are specific conditions under which a franchisee is not obligated to keep certain information confidential. Confidential Information does not include information that is already publicly available, unless it became public due to a breach of confidentiality by the franchisee, their owners, employees, or other related parties.

Additionally, information is not considered confidential if the franchisee can prove they rightfully possessed it before Chop5 Salad Kitchen disclosed it, without any prior obligation to keep it secret. This could include knowledge or data the franchisee already had independently. Furthermore, if the franchisee independently develops information without using or referencing any of Chop5 Salad Kitchen's Confidential Information, they are not bound to keep it confidential.

Finally, information rightfully obtained from a third party who has the legal right to disclose it without violating any confidentiality obligations is also excluded from the definition of Confidential Information. This means if a third-party legitimately provides the franchisee with information, and that third party isn't breaching any confidentiality agreement by doing so, the franchisee is free to use and disclose that information.
