Confidential Information does not include any information that: (a) is now, or subsequently becomes, generally available to the public (except as a result of a breach of confidentiality obligations by you, Franchisee or Franchisee's owners, employees or other constituents); (b) you can demonstrate was rightfully in your possession, without obligation of nondisclosure, before the information was disclosed to you by us or Franchisee (or any person associated with us or Franchisee); (c) is independently developed by you without any use of, or reference to, any Confidential Information; or (d) is rightfully obtained from a third party who has the right to transfer or disclose such information to you without breaching any obligation of confidentiality imposed on such third party.

What This Means (2024 FDD)

However, this obligation does not apply if the information: (a) is already publicly available or becomes publicly available without any breach of confidentiality by you, your owners, employees, or other constituents; (b) was rightfully in your possession before Chop5 Salad Kitchen disclosed it to you, without any obligation of nondisclosure; (c) is independently developed by you without using or referencing any Confidential Information; or (d) is rightfully obtained from a third party who has the right to disclose it to you without breaching any confidentiality obligation.

In practical terms, this means that as a Chop5 Salad Kitchen franchisee, you must protect all sensitive business information, unless it falls under one of the exceptions listed above.
