There are currently no: (a) effective material determinations of the Patent and Trademark Office, the Trademark Trial and Appeal Board, the trademark administrator of this state or any court; (b) pending infringements, oppositions or cancellations; (c) pending material litigation matters involving any of the Marks; or (d) infringing uses we are aware of that could materially affect your use of the Marks.

ITEM 14 PATENTS, COPYRIGHTS, AND PROPRIETARY INFORMATION

No patents or pending patent applications are material to the franchise.

Although we have not filed an application for copyright registration for the Manual, our website or our marketing materials, we do claim a copyright to these items.

During the term of the Franchise Agreement, we allow you to use certain confidential and proprietary information (some of which constitute "trade secrets") relating to the development, marketing and operation of a Restaurant.

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, there are currently no pending infringements, oppositions, or cancellations involving any of the brand's trademarks. Additionally, there are no pending material litigation matters involving any of the marks, nor are there any infringing uses that Chop5 Salad Kitchen is aware of that could materially affect a franchisee's use of the marks. This statement provides some assurance to potential franchisees that the trademarks are not currently subject to any legal challenges that could impact their ability to use them.

Chop5 Salad Kitchen also states that they will indemnify franchisees against damages for which the franchisee is held liable in a judicial or administrative proceeding based on their use of the marks in compliance with the Franchise Agreement and Manual. They will also reimburse franchisees for all costs reasonably incurred in defending against any such claim. However, this indemnification obligation only applies if the franchisee notifies Chop5 Salad Kitchen of the claim or proceeding in a timely manner and is in full compliance with the Franchise Agreement and Manual.

It is important to note that Chop5 Salad Kitchen's obligations regarding trademark protection are limited. Except for the indemnification described above, the Franchise Agreement does not require Chop5 Salad Kitchen to protect a franchisee's right to use the marks, protect them against infringement claims, or participate in their defense if they are involved in a proceeding related to the marks.
