You may not market or sell using any other
Alternative Channels of Distribution (such as the Internet, catalog sales, telemarketing or other direct marketing) either within or outside of your territory or development territory, if applicable. Your marketing activities are also subject to the additional restrictions described in Item 11 under the Section entitled "Websites, Social Media and Digital Advertising". You must comply with any minimum advertised pricing policy that we establish from time to time. There are no other restrictions on your right to solicit customers, whether from inside or outside of your territory or development territory, if applicable.

What This Means (2024 FDD)
According to the 2024 Chop5 Salad Kitchen FDD, franchisees are restricted from marketing or selling through Alternative Channels of Distribution both within and outside of their territory or development territory, if applicable. An Alternative Channel of Distribution is defined as any channel other than retail sales to customers at a Restaurant, including internet sales, catalog sales, telemarketing, sales through retail stores that do not operate under the Chop5 Salad Kitchen brand, wholesale sales, catering or delivery service, and sales through kiosks or mobile trailers. Chop5 Salad Kitchen reserves the right to sell, and license others to sell, competitive or identical goods and services through Alternative Channels of Distribution, including within a franchisee's territory and development territory.
This means that while a Chop5 Salad Kitchen franchisee must offer catering and delivery services, they are prohibited from using other alternative channels such as internet sales or telemarketing to market or sell their products. This restriction applies regardless of whether the sales are within the franchisee's territory or outside of it. The franchisor retains the right to utilize these alternative channels themselves or license others to do so, even within a franchisee's territory, which could create competition for the franchisee.
This policy is important for prospective franchisees to understand, as it limits their ability to expand their customer base through various sales channels. While the franchisee is protected by a territory of a ½-mile radius from their Restaurant, Chop5 Salad Kitchen can still utilize alternative channels of distribution within that territory. Franchisees should consider how this restriction might impact their potential revenue and market reach, and how it compares to other franchise opportunities where such restrictions may not exist.
