What This Means (2024 FDD)

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, Chop5 Salad Kitchen has specific rights regarding any improvements developed by a franchisee. The FDD defines "Improvement" as any idea, addition, modification, or enhancement to various aspects of the restaurant, including goods/services, operations, processes, marketing, and intellectual property, regardless of who develops it.

The franchise agreement stipulates that a franchisee must assign all rights to any Improvement they develop to Chop5 Salad Kitchen, which includes the right to grant sublicenses. This means that Chop5 Salad Kitchen has full ownership and control over any such improvements.

However, if applicable law prevents the franchisee from assigning ownership of an Improvement, the franchisee is required to grant Chop5 Salad Kitchen a perpetual, free-of-charge license to use, commercialize, and sublicense the Improvement. This ensures that Chop5 Salad Kitchen can still benefit from the Improvement even if they cannot own it outright due to legal restrictions. This is a fairly standard clause in franchise agreements, as it allows the franchisor to maintain consistency and control over the brand and system-wide operations.
