If you engage in any Prohibited Activities during the Restricted Period (other than having an interest in a Competing Business permitted by this Section), your Restricted Period will be extended by the period of time during which you engaged in the Prohibited Activity.
Any such extension of time will not constitute a waiver of your breach or impair any of our rights or remedies relating to your breach.

What This Means (2024 FDD)
According to the 2024 Chop5 Salad Kitchen FDD, if a franchisee engages in prohibited activities during the restricted period, the restricted period will be extended by the amount of time the franchisee was engaged in those prohibited activities. This extension does not excuse the initial breach of contract, and Chop5 Salad Kitchen retains all rights and remedies related to the breach.
Prohibited activities include owning or operating a competing business (with some exceptions for minor stakes in publicly traded companies), disparaging Chop5 Salad Kitchen, diverting business away from Chop5 Salad Kitchen, or inducing others to transfer their business away from Chop5 Salad Kitchen. The restricted period is typically one year after the termination or expiration of the franchise agreement, the date the agreement is assigned, or the date the franchisee no longer holds an ownership interest in the franchise.
This clause is designed to protect Chop5 Salad Kitchen's interests by preventing franchisees from using their knowledge of the business to unfairly compete after leaving the system. The extension of the restricted period serves as a deterrent against engaging in prohibited activities and provides Chop5 Salad Kitchen with additional time to protect its market share and brand reputation. Prospective franchisees should carefully consider these restrictions and their potential impact on their future business endeavors.
