What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, franchisees have the option to renew their franchise agreement if they meet certain conditions. If these conditions are met, a franchisee can enter into up to two consecutive successor franchise agreements, each lasting for 5 years. Any further renewals beyond these two terms require mutual agreement between Chop5 Salad Kitchen and the franchisee, but neither party is obligated to agree, subject to state law.
To be eligible for renewal, Chop5 Salad Kitchen requires that the franchisee must not be in default of the original agreement. The franchisee must also provide timely notice of their intent to renew. Additionally, franchisees must sign the then-current form of the franchise agreement, which may contain materially different terms and conditions than the original contract. A general release must also be signed, subject to state law, which typically involves releasing Chop5 Salad Kitchen from any claims.
Further requirements for renewal include paying a renewal fee, the amount of which is not specified in Item 17. Franchisees must also remodel the restaurant and upgrade the furniture, fixtures, and equipment to meet Chop5 Salad Kitchen's current standards. Finally, the franchisee needs to extend the lease for the duration of the renewal term to continue operating at the same location.
It is important to note that the Area Development Agreement (ADA) does not offer renewal rights. Therefore, these renewal terms apply specifically to the standard franchise agreement and not to any development agreements a franchisee may have with Chop5 Salad Kitchen.
