What This Means (2024 FDD)
Based on the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, the franchisor designates and authorizes the use of specific service marks, trademarks, trade names, and logos, including "CHOP5 Salad Kitchen®" and "CHOP5®," along with associated logos. These marks also encompass the distinctive trade dress that identifies a Chop5 Salad Kitchen restaurant and its products.
The FDD emphasizes the importance of protecting Chop5 Salad Kitchen's intellectual property, recognizing it as vital to the success of both the franchisor and its franchisees. Franchisees are expected to comply with the terms outlined in their agreements to avoid actions that could jeopardize the franchise system. This includes refraining from unfair competition or misuse of the franchisor's intellectual property.
Specifically, franchisees must adhere to brand protection covenants, which include using intellectual property and confidential information solely for operating their Chop5 Salad Kitchen restaurant in compliance with the Franchise Agreement and the brand standards manual. They are also obligated to maintain the confidentiality of all confidential information, avoid making unauthorized copies of documents containing such information, and take all necessary steps to prevent unauthorized use or disclosure. Franchisees must also immediately cease using the intellectual property and confidential information if they are no longer associated with the franchise.
