You agree to assign to us or our designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses. If applicable law precludes you from assigning ownership of any Improvement to us, then such Improvement shall be perpetually licensed by you to us free of charge, with full rights to use, commercialize and sublicense the same.

What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, any Improvement developed by a franchisee must be assigned to Chop5 Salad Kitchen. An "Improvement" is defined as any modification or addition to the goods, services, operational methods, processes, marketing materials, or intellectual property used by a Chop5 Salad Kitchen restaurant.
Specifically, the agreement states that franchisees must assign all rights to any Improvement they develop to Chop5 Salad Kitchen or its designee without any charge. This includes the right for Chop5 Salad Kitchen to grant sublicenses for the Improvement.
However, if applicable law prevents the franchisee from assigning ownership of the Improvement, the franchisee must perpetually license the Improvement to Chop5 Salad Kitchen free of charge. This license grants Chop5 Salad Kitchen full rights to use, commercialize, and sublicense the Improvement. Therefore, while the franchisee might conceive the idea, Chop5 Salad Kitchen maintains control over its implementation and use within the franchise system.
