11.13.System Programs.
- (a) Generally. We may periodically develop and implement loyalty programs, gift card programs and other system-wide programs. You must fully participate in all programs we designate as mandatory. In order to participate you must: (i) comply with all policies and procedures we establish for participation in the program; (ii) purchase (or license) and utilize all equipment, software, mobile applications (Apps), technology and others items we designate as being necessary for participation in the program, and pay all associated fees and costs; and (iii) pay us, our affiliate, or a third party we designate, all program fees and other amounts we specify as being necessary for participation in the program (collectively, "Program Participation Rules"). Program Participation Rules may be set forth in the Manual. We may change Program Participation Rules at any time and you must comply with these changes. We may develop and implement new or successor programs and/or modify or terminate existing programs at any time in our discretion.
- (b) Loyalty Programs. You must fully participate and implement all required customer loyalty, rewards and other affinity programs designed to increase customer loyalty, generate new customers or improve overall demand for Restaurants.
- (c) Gift Card Programs. You must participate in any gift card program we establish and honor all gift cards, including gift cards purchased from us or another franchisee. You may not

What This Means (2024 FDD)
According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, franchisees must participate fully in loyalty programs. Chop5 Salad Kitchen may periodically develop and implement loyalty programs, gift card programs, and other system-wide programs. If Chop5 Salad Kitchen designates these programs as mandatory, franchisees must participate.
To participate in these programs, franchisees must adhere to all policies and procedures established by Chop5 Salad Kitchen, purchase and utilize all necessary equipment, software, mobile applications, and technology, and pay all associated fees and costs. Franchisees must also pay Chop5 Salad Kitchen, its affiliates, or a designated third party all program fees and other amounts specified for participation. These requirements are collectively known as "Program Participation Rules," which may be detailed in the manual and are subject to change at any time.
Chop5 Salad Kitchen requires franchisees to fully participate in and implement all customer loyalty, rewards, and other affinity programs designed to increase customer loyalty, generate new customers, or improve overall demand for restaurants. Franchisees must also participate in any gift card program established by Chop5 Salad Kitchen and honor all gift cards, including those purchased from Chop5 Salad Kitchen or another franchisee. However, franchisees cannot offer or sell gift cards that Chop5 Salad Kitchen has not approved. Chop5 Salad Kitchen retains the right to determine how gift card proceeds are divided or accounted for, require that proceeds be paid to them or deposited into a controlled trust account, and retain proceeds from unredeemed gift cards.
