What obligation does a Chop5 Salad Kitchen franchisee have regarding the Confidentiality Agreement?

"Confidentiality Agreement" means the Confidentiality Agreement that must be signed by certain of your employees pursuant to §14.5, the current form of which is attached as ATTACHMENT "G".
(a) Intellectual Property and Confidential Information. You agree to:
- (i) refrain from using the Intellectual Property or Confidential Information in any business or for any purpose other than the operation of Franchisee's Restaurant;
- (ii) maintain the confidentiality of all Confidential Information at all times;
- (iii) refrain from making unauthorized copies of documents containing Confidential Information;
- (iv) take all steps we reasonably require to prevent unauthorized use or disclosure of Confidential Information; and
(v) immediately stop using the Intellectual Property and Confidential Information at such time that you are no longer an officer, director, employee or independent contractor of Franchisee.

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, the franchisee and certain of their employees must sign a Confidentiality Agreement, the current form of which is attached as ATTACHMENT "G".
As an officer, director, employee, or independent contractor of the Chop5 Salad Kitchen franchisee, you may gain knowledge of the Chop5 Salad Kitchen System and Know-how. To protect Chop5 Salad Kitchen's Intellectual Property, you must comply with the terms of the agreement.
The franchisee must refrain from using the Intellectual Property or Confidential Information in any business other than the operation of the Chop5 Salad Kitchen Restaurant. The franchisee must maintain the confidentiality of all Confidential Information at all times, refrain from making unauthorized copies of documents containing Confidential Information, take all steps reasonably required to prevent unauthorized use or disclosure of Confidential Information, and immediately stop using the Intellectual Property and Confidential Information at such time that you are no longer an officer, director, employee or independent contractor of Franchisee.
