What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, all mediation, arbitration, and litigation involving disputes must occur in the county where Chop5 Salad Kitchen maintains its principal place of business at the time the dispute arises. Currently, this location is Jefferson County, Kentucky.
This means that any legal proceedings, whether through mediation, arbitration, or a lawsuit, will take place in Jefferson County, Kentucky, regardless of where the franchisee's Chop5 Salad Kitchen is located. The FDD states that both parties involved in a dispute irrevocably waive any objection to this venue and submit to the jurisdiction of the courts in Jefferson County for litigation proceedings.
For a prospective Chop5 Salad Kitchen franchisee, this is an important consideration. It means that if a dispute arises with Chop5 Salad Kitchen, the franchisee will likely need to travel to Jefferson County, Kentucky, to resolve it, potentially incurring travel, accommodation, and local legal fees. This could add significant expense and inconvenience to the dispute resolution process.
It is common for franchise agreements to specify a particular venue for dispute resolution, often the location of the franchisor's headquarters. Franchisees should carefully consider the implications of this clause, especially if they are located far from the designated venue. They may want to consult with an attorney to understand their rights and obligations under the franchise agreement.
