How many votes does each Chop5 Salad Kitchen member of a cooperative receive?

Chop5_Salad_Kitchen Franchise · 2024 FDD

Answer from 2024 FDD Document

Cooperative advertising fees are uniformly imposed on all Restaurants in the cooperative, including company-owned Restaurants. We may set the minimum cooperative advertising fee, which may be increased by majority vote of all members of the cooperative (but will not exceed the maximum amount specified in the table above). Each member is entitled to 1 vote for each Restaurant that is owned by the member and located in the cooperative. We and our affiliates will be members of the cooperative (and have the same voting rights as franchisees) with respect to company-owned Restaurants located in the cooperative. However, if the majority of Restaurants in the cooperative are company-owned Restaurants, we will not increase the cooperative advertising fee unless a majority of all franchisee members vote in favor of the increase. All cooperative advertising fees you pay are credited towards your Local Advertising Commitment. The maximum total amount we may charge at any given time for the brand fund fee, Local Advertising Commitment and Cooperative Advertising Fee is capped at 8.5% of Gross Sales. There were no advertising cooperatives in effect as of December 31, 2022.

What This Means (2024 FDD)

According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, each member of a regional advertising cooperative is entitled to one vote for each restaurant that they own within the cooperative. This includes Chop5 Salad Kitchen itself and its affiliates, who have the same voting rights as franchisees for company-owned restaurants. However, if company-owned restaurants constitute a majority within the cooperative, Chop5 Salad Kitchen will not increase the cooperative advertising fee unless a majority of the franchisee members vote in favor of the increase.

This voting structure ensures that franchisees have a voice in decisions regarding cooperative advertising, particularly concerning fee increases. The provision preventing Chop5 Salad Kitchen from unilaterally raising fees when company-owned stores dominate the cooperative aims to protect franchisee interests. This setup is fairly common in franchising, where regional advertising cooperatives allow franchisees to pool resources and make decisions collectively about local marketing efforts.

For a prospective Chop5 Salad Kitchen franchisee, this means that their voting power in the cooperative is directly tied to the number of restaurants they operate within that region. If a franchisee owns multiple Chop5 Salad Kitchen locations within the cooperative's area, they will have a proportionally larger say in decisions. However, it's important to note that the influence of franchisees can be limited if Chop5 Salad Kitchen owns a majority of the restaurants in the cooperative, as the franchisor's vote could carry significant weight.
