-
- Right to Assign. At any time, including, without limitation, upon the expiration or termination of the Franchise Agreement, and without Landlord's prior consent, Tenant may assign the Lease to Franchisor. In such event, Franchisor may thereafter assign the Lease to another CHOP5 Salad Kitchen franchisee or to an entity owned and/or controlled by Franchisor. If it does, Franchisor must first obtain Landlord's written approval of the assignee. Landlord, however, must neither unreasonably withhold nor delay its approval thereof. Landlord will acknowledge any such assignment in writing. No assignment permitted under this Section is subject to any assignment or similar fee or will cause any rental acceleration.

What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, under certain conditions, you may be required to assign your lease to them. Specifically, the lease agreement between you (as the tenant) and the landlord may contain provisions that allow you to assign the lease to Chop5 Salad Kitchen without the landlord's prior consent. This can occur at any time, including upon the expiration or termination of your Franchise Agreement.
If you assign the lease to Chop5 Salad Kitchen, they then have the right to assign it to another Chop5 Salad Kitchen franchisee or an entity they own or control. However, Chop5 Salad Kitchen must obtain the landlord's written approval for this subsequent assignment, although the landlord cannot unreasonably withhold or delay this approval. The landlord is also required to acknowledge any such assignment in writing. Importantly, no assignment permitted under this section of the agreement is subject to any assignment fee or rental acceleration.
This clause protects Chop5 Salad Kitchen's interests by ensuring they can maintain control over the restaurant location, either by operating it themselves or transferring it to another franchisee, even if your franchise agreement ends. As a prospective franchisee, it is crucial to understand the terms of the lease agreement and how it interacts with the franchise agreement, particularly regarding assignment rights and obligations. You should carefully review the lease agreement with legal counsel to fully understand the implications of these provisions.
