You agree to assign to us or our designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses. If applicable law precludes you from assigning ownership of any Improvement to us, then such Improvement shall be perpetually licensed by you to us free of charge, with full rights to use, commercialize and sublicense the same.

What This Means (2024 FDD)
According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, if a franchisee or their employee develops an Improvement, Chop5 Franchise LLC has specific rights regarding its use. An "Improvement" is defined broadly as any enhancement or modification to the restaurant's goods, services, operations, systems, marketing, or intellectual property.
The FDD states that the franchisee agrees to assign all rights to any Improvement developed to Chop5 Salad Kitchen or its designee without any charge. This means Chop5 Salad Kitchen gains ownership of the Improvement, including the right to sublicense it to other franchisees or use it in any way they see fit.
However, if applicable law prevents the franchisee from assigning ownership of the Improvement, the franchisee must grant Chop5 Salad Kitchen a perpetual, free-of-charge license to use, commercialize, and sublicense the Improvement. This ensures that even if Chop5 Salad Kitchen cannot own the Improvement outright, they have the full legal right to utilize it across the franchise system. This clause aims to protect Chop5 Salad Kitchen's intellectual property and ensure that innovations can be shared and implemented throughout the franchise network, potentially benefiting all franchisees.
This arrangement is fairly common in franchising, as franchisors typically want to maintain control over improvements to their system to ensure consistency and protect their brand. Prospective Chop5 Salad Kitchen franchisees should be aware that any innovations they develop for their restaurant may become the property of the franchisor or be licensed to the franchisor for use throughout the system.
