What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, franchisees are obligated to assign all rights to any Improvement they develop to Chop5 Salad Kitchen or its designee without charge, including the right to grant sublicenses. An Improvement is defined as any idea, addition, modification, or enhancement to various aspects of the Chop5 Salad Kitchen business. This includes goods or services offered, methods of operation, processes, systems, procedures, marketing materials, and intellectual property used by the restaurant.
However, if applicable law prevents the franchisee from assigning ownership of any Improvement to Chop5 Salad Kitchen, the franchisee must perpetually license the Improvement to Chop5 Salad Kitchen free of charge. This license grants Chop5 Salad Kitchen full rights to use, commercialize, and sublicense the Improvement.
This policy ensures that Chop5 Salad Kitchen maintains control over any advancements or modifications to its system, allowing for consistent brand standards and the ability to share successful innovations across the franchise network. For a potential franchisee, this means that while they can contribute to the evolution of the Chop5 Salad Kitchen system, the ownership and control of those contributions ultimately reside with the franchisor.
