- Nature and Manner of Payment: All fees are imposed by and payable to us except: (a) you spend the Local Advertising Commitment directly with local suppliers; and (b) you pay the cooperative advertising fee directly to your advertising cooperative (we may instead require you to pay this fee to us, in which case we will remit the fee to the cooperative on your behalf). All fees are nonrefundable and uniformly imposed. You must sign an ACH Authorization Form (attached to the Franchise Agreement as ATTACHMENT "E") permitting us to electronically debit your designated bank account for all amounts owed to us and our affiliates (other than fees due within 15 days after signing the Franchise Agreement). You must deposit all Gross Sales into the bank account and ensure sufficient funds are available for withdrawal before each due date. You are responsible for all taxes imposed on you or us based on products, intangible property (including trademarks) or services we provide to you.

What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, all fees are generally nonrefundable. The FDD specifies that all fees are imposed by and payable to Chop5 Salad Kitchen, with two exceptions: (a) when the franchisee spends the Local Advertising Commitment directly with local suppliers, and (b) when the franchisee pays the cooperative advertising fee directly to the advertising cooperative. However, Chop5 Salad Kitchen may require the franchisee to pay the cooperative advertising fee to them, in which case they will remit the fee to the cooperative on the franchisee's behalf.
This means that, as a prospective Chop5 Salad Kitchen franchisee, you should expect that any fees paid directly to the franchisor are nonrefundable. This is a fairly standard practice in franchising, as these fees typically cover services and support provided by the franchisor. It is important to factor this into your financial planning, ensuring you have the necessary capital to cover these nonrefundable expenses.
The franchisee is also responsible for all taxes imposed on them or Chop5 Salad Kitchen based on products, intangible property (including trademarks) or services provided to the franchisee. Furthermore, the franchisee must sign an ACH Authorization Form permitting Chop5 Salad Kitchen to electronically debit their designated bank account for all amounts owed to them and their affiliates, excluding fees due within 15 days after signing the Franchise Agreement. The franchisee must deposit all Gross Sales into the bank account and ensure sufficient funds are available for withdrawal before each due date.
Therefore, it is crucial to carefully review all fee obligations outlined in the Franchise Agreement and understand the terms and conditions related to payment and refund policies. Prospective franchisees should also inquire about any potential circumstances under which a refund may be considered, despite the general nonrefundable policy.
