What This Means (2024 FDD)

According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, certain information is excluded from the definition of "Confidential Information." This means that a franchisee's obligations to keep information confidential do not extend to these specific categories.

The first exception is any information that is already publicly available or later becomes publicly available. However, this exception does not apply if the information becomes public due to a breach of confidentiality by the franchisee, their owners, employees, or other related parties. The second exception covers information that the franchisee can prove they already possessed rightfully, without any obligation to keep it secret, before Chop5 Salad Kitchen shared it with them.

The third exception is for information that the franchisee independently develops without using or referencing any of Chop5 Salad Kitchen's confidential information. Lastly, information rightfully obtained from a third party who had the legal right to disclose it without violating any confidentiality agreements is also excluded. These exceptions are important for prospective franchisees as they clarify the scope of their confidentiality obligations and protect their ability to use or disclose information that falls outside the defined confidential information.
