Competing Business" means any business that meets at least one of the following criteria: (a) any fast casual restaurant that derives, or is reasonably expected to derive, at least 35% of its revenue from the sale of made-to-order salads, salad bowls, grain bowls and/or soups; (b) any business that solicits, offers or sells franchises or licenses for a business that meets the criteria in clause (a) of this definition; and/or (c) any business that services, trains, supports, consults with, advises or otherwise assists any Person with respect to the development, management and/or operation of a business that meets the criteria in clause (a) of this definition.
A Competing Business does not include any CHOP5 Salad Kitchen Restaurant operated pursuant to a valid franchise agreement or license agreement with us or our affiliate.

What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, the definition of a 'Competing Business' does include businesses that consult with other businesses. Specifically, the FDD states that a 'Competing Business' includes any business that services, trains, supports, consults with, advises, or otherwise assists any person with respect to the development, management, and/or operation of a business that meets the criteria of a fast-casual restaurant deriving at least 35% of its revenue from made-to-order salads, salad bowls, grain bowls, and/or soups.
This definition has significant implications for prospective Chop5 Salad Kitchen franchisees. It means that during the term of their franchise agreement, and potentially for a period after, they are restricted from being involved with businesses that offer consulting or support services to competing fast-casual restaurants specializing in similar menu items. This restriction is in place to protect Chop5 Salad Kitchen's business model and market share.
It is important to note that this definition does not prevent a franchisee from owning an interest of 5% or less in a publicly traded company that is considered a Competing Business. Additionally, a Competing Business does not include any Chop5 Salad Kitchen Restaurant operated under a valid franchise or license agreement with the company or its affiliates. Franchisees should carefully review the Brand Protection Agreement and Franchise Owner Agreement to fully understand the scope and limitations of these restrictions.
