Chop5_Salad_Kitchen Franchise · 2024 FDD

Answer from 2024 FDD Document

This provision supersedes any other term of any document executed in connection with the franchise.

  • 24.9. Covenant of Good Faith.

If applicable Law implies into this Agreement a covenant of good faith and fair dealing, the covenant shall not imply any rights or obligations that are inconsistent with the express terms of this Agreement.

This Agreement, and the relationship of the parties inherent in this Agreement, grants us discretion to make decisions, take actions and/or refrain from taking actions not inconsistent with our explicit rights and obligations under this Agreement that may favorably or adversely affect your interests.

We will use our judgment in exercising the discretion based on our assessment of our own interests and balancing those interests against the interests of our franchisees, but without considering the individual interests of you or any other particular franchisee.

What This Means (2024 FDD)

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, the 'Covenant of Good Faith' clause addresses how the implied duty of good faith and fair dealing is interpreted within the franchise agreement. It clarifies that if applicable law implies such a covenant, it will not create any rights or obligations that contradict the explicit terms of the agreement. This means that while there's an understanding of fair dealing, the express terms of the franchise agreement take precedence.

This section also grants Chop5 Salad Kitchen discretion to make decisions and take actions that may affect a franchisee's interests, as long as those actions are consistent with the franchisor's explicit rights and obligations outlined in the agreement. Chop5 Salad Kitchen will exercise this discretion based on its assessment of its own interests, balancing them against the interests of its franchisees generally, but without specifically considering the interests of any individual franchisee.

In practical terms, this means a Chop5 Salad Kitchen franchisee should be aware that the franchisor has the leeway to make decisions that could impact their business, provided those decisions don't violate the written agreement. The franchisor will consider the overall network of franchisees but isn't obligated to prioritize the needs of a specific franchisee. This underscores the importance of thoroughly understanding the explicit terms of the franchise agreement, as those terms will govern the relationship, even in situations where a franchisee feels a decision is unfair to their particular circumstances.
