CONFIDENTIALITY AGREEMENT
This Agreement (this "Agreement") is entered into by the undersigned ("you") in favor of CHOP5 Franchise LLC, a Kentucky limited liability company, and its successors and assigns ("us"), upon the terms and conditions set forth below.

Definitions.** For purposes of this Agreement the following terms have the meanings given to them below:
"Business Data" means all data pertaining to Franchisee's Restaurant, customers and business operations, whether collected by you, Franchisee, us or any other person.
"Confidential Information" means and includes: (a) the Know-How; (b) the Business Data; (c) the terms of the Franchise Agreement and all related agreements signed by Franchisee in connection with the Restaurant, and all attachments thereto and amendments thereof; (d) the components of the System; (e) all information within or comprising the Manual; and (f) all other concepts, ideas, trade secrets, financial information, marketing strategies, expansion strategies, studies, supplier information, customer information, franchisee information, investor information, flow charts, inventions, mask works, improvements, discoveries, standards, specifications, formulae, recipes, designs, sketches, drawings, policies, processes, procedures, methodologies and techniques, together with analyses, compilations, studies or other documents that: (i) are designated as confidential; (ii) are known by you to be considered confidential by us; and/or (iii) are by their nature inherently or reasonably to be considered confidential.

What This Means (2024 FDD)
According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, the Confidentiality Agreement does address the confidentiality of customer information. The agreement defines "Business Data" as all data pertaining to the franchisee's restaurant, customers, and business operations, regardless of who collected it. Furthermore, "Confidential Information" includes, among other things, the Business Data, the System, and customer information.
This means that as a Chop5 Salad Kitchen franchisee, you and certain of your employees will be obligated to protect customer data and other sensitive business information. The agreement requires maintaining the confidentiality of this information and taking reasonable steps to prevent unauthorized use or disclosure. This obligation extends to officers, directors, employees, and independent contractors of the franchisee.
The Confidentiality Agreement is included as ATTACHMENT "G" to the Franchise Agreement. Prospective franchisees should carefully review this agreement and understand their obligations regarding confidential information, including customer data, before signing the Franchise Agreement. Understanding these obligations is crucial for protecting both the Chop5 Salad Kitchen brand and the franchisee's business.
