What This Means (2024 FDD)

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, a Minority Interest Transfer has specific implications regarding transfer conditions. A "Minority Interest Transfer" is defined as the transfer of less than 20% of the equity interests in the franchise entity by an owner. However, this excludes any transfer that would result in the Operating Partner owning less than 5% of the equity interests in the Franchisee Entity. The "Operating Partner" is the approved owner with primary responsibility for managing and supervising the Chop5 Salad Kitchen restaurant.

For transfers that qualify as a Minority Interest Transfer, Chop5 Salad Kitchen will waive several conditions typically required for a transfer. These waived conditions include the requirement for the franchisee to provide training to the transferee, the need for the transferee to execute the then-current form of the franchise agreement, and the obligation for both the franchisee and transferee to sign a non-compete agreement.

Additionally, Chop5 Salad Kitchen waives the clauses related to paying a $15,000 transfer fee, assigning all franchise agreements to the transferee, signing a general release, Chop5 Salad Kitchen's choice not to exercise their right of first refusal, and the satisfaction of other conditions that Chop5 Salad Kitchen might reasonably require for transfer approval. However, Chop5 Salad Kitchen clarifies that their consent to a transfer does not waive any claims they may have against the transferor, nor does it waive their right to demand that the transferee comply with all terms of the franchise agreement.
