What This Means (2024 FDD)

According to Chop5 Salad Kitchen's 2024 Franchise Disclosure Document, a franchisee who wishes to transfer their franchise must meet certain conditions to gain approval from the franchisor. These conditions involve actions and qualifications for both the franchisee (transferor) and the person or entity to whom the franchise is being transferred (transferee). The franchisor also retains certain rights during the transfer process.

For a standard franchise agreement transfer, the franchisee must be in compliance with the existing Franchise Agreement, assign the lease (if applicable), pay a transfer fee, subordinate any ongoing payments owed to them by the transferee to the transferee's financial obligations to Chop5 Salad Kitchen, and sign a general release (subject to state law). The prospective transferee must meet Chop5 Salad Kitchen's qualifications, successfully complete training (or arrange to do so), obtain all required licenses and permits, agree in writing to assume all obligations under agreements related to the business, sign the then-current form of franchise agreement for the remainder of the term (or, at the franchisor's option, assume the existing Franchise Agreement), and remodel the restaurant, upgrading furniture, fixtures, and equipment to current standards within 12 months after the transfer (or a shorter period if specified by the franchisor).

For an Area Development Agreement (ADA) transfer, the franchisee must be in compliance with all Franchise Agreements and the ADA, assign all Franchise Agreements to the same purchaser unless Chop5 Salad Kitchen agrees otherwise (or, at their option, the transferee must sign the then-current form of franchise agreement), comply with transfer provisions under the Franchise Agreements, pay the transfer fee, and sign a general release (subject to state law). The transferee must meet Chop5 Salad Kitchen's qualifications, successfully complete training (or arrange to do so), and sign the then-current form of area development agreement for the remainder of the term or, at Chop5 Salad Kitchen's option, assume the existing ADA.

It is important to note that Chop5 Salad Kitchen has a right of first refusal, meaning they can match any offer for the business or area development rights, except in the case of Permitted Transfers or Minority Interest Transfers. Additionally, upon the franchisee's death or disability, the interest must be assigned by the estate to an assignee within 180 days, complying with the standard transfer conditions. Chop5 Salad Kitchen may also designate a manager to operate the restaurant prior to the transfer.
