What This Means (2024 FDD)

According to the 2024 Chop5 Salad Kitchen FDD, if a franchisee owns multiple restaurants, Chop5 Salad Kitchen may require consolidated financial statements. All financial statements must be verified and signed by the franchisee, certifying the information is true, complete, and accurate. These statements must be prepared on an accrual basis in compliance with Generally Accepted Accounting Principles (GAAP) and submitted in a format that Chop5 Salad Kitchen reasonably requires.

Notably, Chop5 Salad Kitchen may require that a franchisee's annual financial statements be reviewed or audited by a certified public accountant (CPA) if the franchisee submits materially inaccurate financial statements on a prior occasion. The franchisee must provide copies of any required financial statements upon request. Chop5 Salad Kitchen is authorized to disclose Operational Data to prospective franchisees, Governmental Authorities, and other Persons for any reasonable business purpose, provided the disclosure is not prohibited by applicable Law.

This means that franchisees must maintain accurate and GAAP-compliant financial records. If inaccuracies occur, Chop5 Salad Kitchen has the right to demand a CPA review or audit, adding to the franchisee's expenses. The franchisee also relinquishes some control over their operational data, as Chop5 Salad Kitchen can share it for business purposes, as long as it is legally permissible. This is a fairly standard practice in franchising, allowing the franchisor to monitor performance and ensure brand consistency, but franchisees should be aware of these requirements and potential costs.
