What is Attachment G to the Chop5 Salad Kitchen Franchise Agreement?

According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, Attachment G to the Franchise Agreement is the current form of the Confidentiality Agreement. This agreement must be signed by certain employees of the franchisee, as specified in Section 14.5 of the Franchise Agreement.

The Confidentiality Agreement is designed to protect Chop5 Salad Kitchen's confidential information. This information includes the Know-How, Business Data, terms of the Definitive Agreements, components of the System, information within the Manual, trade secrets, financial information, marketing strategies, expansion strategies, supplier information, customer information, franchisee information, investor information, flow charts, inventions, mask works, improvements, discoveries, standards, specifications, formulae, recipes, designs, sketches, drawings, policies, processes, procedures, methodologies, and techniques.

Certain information is excluded from the definition of Confidential Information, such as data that is publicly available, already in the franchisee's possession without obligation of nondisclosure, independently developed by the franchisee, or rightfully obtained from a third party without breach of confidentiality. Prospective franchisees should carefully review the Confidentiality Agreement to understand their obligations and ensure their employees are aware of these restrictions.
