As you know CHOP5 Franchise LLC ("we" or "us), and you are preparing to enter into a Franchise Agreement for the operation of a CHOP5 Salad Kitchen franchise. We require that you complete this Questionnaire (a) so that we can determine whether our franchise sales team followed proper sales procedures and (b) to provide us with reasonable assurance that, prior to signing the Franchise Agreement, you have had an adequate opportunity to review the Franchise Disclosure Document and its attachments, consult with legal and/or business advisors of your choosing, and ask us questions about any disclosures or terms that you do not understand. You cannot sign or date this Questionnaire the same day as the Receipt for the Franchise Disclosure Document but you must sign and date it the same day you sign the Franchise Agreement and pay your franchise fee. What This Means (2024 FDD)
According to the 2024 Chop5 Salad Kitchen Franchise Disclosure Document, the franchisee must complete a questionnaire to ensure they had adequate opportunity to review the FDD and consult with advisors before signing the Franchise Agreement. This questionnaire aims to confirm that the franchisee had sufficient time to understand the disclosures and terms. The franchisee cannot sign the questionnaire on the same day they receive the FDD but must sign it on the same day they sign the Franchise Agreement and pay the franchise fee. This process is designed to ensure the franchisee is fully informed before committing to the franchise.
This requirement indicates that Chop5 Salad Kitchen wants to confirm franchisees acknowledge they had the chance to review all necessary information. By requiring the franchisee to affirm they understood the terms and had access to advice, Chop5 Salad Kitchen aims to mitigate potential future claims that the franchisee was misled or did not understand the agreement. This measure protects both the franchisor and the franchisee by ensuring transparency and informed consent.
However, the FDD also includes a State Addendum that modifies the FDD, Franchise Agreement, and Supplemental Agreements to comply with specific state laws. This addendum applies only to franchisees meeting the requirements of the applicable state and overrides any inconsistent provisions in the FDD, Franchise Agreement, or Supplemental Documents. The State Addendum is applicable in California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin. This suggests that the enforceability and interpretation of certain clauses, including disclaimers, may vary based on state laws, adding another layer of complexity for prospective franchisees.
Prospective Chop5 Salad Kitchen franchisees should pay close attention to the Franchisee Disclosure Questionnaire and any state-specific addenda. They should consult with legal and business advisors to fully understand their rights and obligations. Franchisees should also ensure they document all communications and representations made by the franchisor during the sales process to protect themselves from potential discrepancies or misunderstandings.
