- B. The System includes (1) methods, procedures, and standards for developing and operating a Chocolate Bash business, (2) plans, specifications, equipment, signage and trade dress for Chocolate Bash businesses, (3) particular products and services, (4) the Marks, (5) training programs, (6) business knowledge, (7) marketing plans and concepts, and (8) other mandatory or optional elements as determined by CB Franchising from time to time.
- C. The parties desire that CB Franchising license the Marks and the System to Franchisee for Franchisee to develop and operate a Chocolate Bash business on the terms and conditions of this Agreement.
ARTICLE 1. DEFINITIONS
- "Action" means any action, suit, proceeding, claim, demand, governmental investigation, governmental inquiry, judgment or appeal thereof, whether formal or informal.
- "Approved Vendor" means a supplier, vendor, or distributor of Inputs which has been approved by CB Franchising.
- "Business" means the Chocolate Bash business owned by Franchisee and operated under this Agreement.
- "Competitor" means any business which offers dessert products from a retail location focusing on chocolate.

What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, the Chocolate Bash System includes training programs for franchisees. The System includes methods, procedures, and standards for operating a Chocolate Bash business, plans, specifications, equipment, signage and trade dress, particular products and services, the Marks, training programs, business knowledge, marketing plans and concepts, and other mandatory or optional elements.
Chocolate Bash provides pre-opening assistance to franchisees, including pre-opening training. This standard training is made available to the Principal Executive and up to 2 other employees at Chocolate Bash's headquarters or a designated Chocolate Bash business. Chocolate Bash does not charge any fee for this training. However, the franchisee is responsible for their own travel, lodging, meal, and other out-of-pocket expenses.
In addition to pre-opening training, Chocolate Bash also provides on-site opening assistance. A representative from Chocolate Bash will support the franchisee's business opening with at least 3 days of onsite opening training and assistance. Chocolate Bash also reserves the right to vary the length and content of the initial training program based on the experience and skill level of any individual attending the program.
