of Franchisee. If Franchisee is an individual person, then "Owner" means Franchisee.
- "Remodel" means a refurbishment, renovation, and remodeling of the Location to conform to the building design, exterior facade, trade dress, signage, fixtures, furnishings, equipment, decor, color schemes, presentation of the Marks, and other System Standards in a manner consistent with the image then in effect for a new Chocolate Bash business.
- "Required Vendor" means a supplier, vendor, or distributor of Inputs which CB Franchising requires franchisees to use.
- "System Standards" means, as of any given time, the then-current mandatory procedures, requirements, and/or standards of the System as determined by CB Franchising, which may include without limitation, any procedures, requirements and/or standards for appearance, business metrics, cleanliness, customer service, design (such as construction, decoration, layout, furniture, fixtures and signs), equipment, inventory, marketing and public relations, operating hours, presentation of Marks, product and service offerings, quality of products and services (including any guaranty and warranty programs), reporting, safety, technology (such as computers, computer peripheral equipment, smartphones, point-of-sale systems, back-office systems, information management systems, securi

According to Chocolate Bash's 2024 Franchise Disclosure Document, a 'Remodel' involves the refurbishment, renovation, and remodeling of the franchise location. This is done to ensure it conforms to the current building design, exterior facade, trade dress, signage, fixtures, furnishings, equipment, decor, color schemes, presentation of the Marks, and other System Standards. The goal is to maintain an image consistent with a new Chocolate Bash business.
Chocolate Bash may require franchisees to undertake and complete a Remodel of their location to the company's satisfaction and within a specified timeframe. Franchisees might need to submit plans for approval before starting the remodel. However, there are limitations to how often Chocolate Bash can mandate a remodel. A remodel will not be required in the first two or last two years of the franchise term, unless it's a condition for renewal or transfer. Additionally, remodels cannot be required more than once every five years from the completion date of the previous remodel.
Franchisees are also responsible for the general maintenance and repair of their Chocolate Bash location. This includes keeping the business neat and clean, performing necessary maintenance, and ensuring all physical property is in good repair. This ongoing maintenance is separate from the more extensive 'Remodel' described above, but contributes to maintaining the brand standards of Chocolate Bash.
