What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, the Principal Executive, who is primarily responsible for the business and has decision-making authority, must maintain at least a 10% ownership interest in the Chocolate Bash franchise. This requirement ensures that the person in charge has a vested interest in the success of the franchise.
While the Principal Executive does not need to be the day-to-day general manager, they must devote substantial time and attention to the business. This suggests that Chocolate Bash expects the Principal Executive to be actively involved in overseeing the franchise's operations and strategic direction, even if they delegate daily management tasks to someone else.
If the Principal Executive dies, becomes incapacitated, transfers their interest, or otherwise ceases to be the executive primarily responsible, the franchisee must promptly designate a new Principal Executive, subject to Chocolate Bash's approval. This provision ensures continuity in leadership and adherence to the franchisor's standards for management and decision-making within the franchise.
