What is the name of the agreement that allows a Chocolate Bash franchisee to establish additional outlets?

According to Chocolate Bash's 2024 Franchise Disclosure Document, a franchisee does not have the right to establish additional franchised outlets unless they sign a Multi-Unit Development Agreement (MUDA). This agreement, attached as Exhibit C to the FDD, grants the franchisee the right to establish a mutually-agreed number of additional outlets.

Under the MUDA, the franchisee's right to develop additional outlets is contingent upon several factors. These include compliance with a mutually-agreed development schedule, having sufficient financial and organizational capacity to develop, open, operate, and manage each additional Chocolate Bash business, compliance with all brand requirements at their existing Chocolate Bash businesses, and not being in default under any other agreement with Chocolate Bash.

Chocolate Bash will approve the location of future sites and territories for these additional outlets, and their then-current standards for sites and territories will apply. This ensures that any new locations meet the franchisor's criteria for success and do not negatively impact existing franchisees. The MUDA and the franchise agreement are executed simultaneously for the first store, and a separate franchise agreement is required for each additional Chocolate Bash business under the MUDA.
