What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, membership in a Market Cooperative is determined by the geographic area encompassing the franchise's location. If a Market Cooperative exists for that area when the franchisee begins operations, the franchisee must immediately join. If a Market Cooperative is established later during the term of the Franchise Agreement, the franchisee has 30 days to become a member. Chocolate Bash will not require a franchisee to be a member of more than one Market Cooperative.
These Market Cooperatives are designed to administer regional advertising and marketing programs. They also develop standardized promotional materials for local advertising and promotion, subject to Chocolate Bash's approval. The cooperatives are governed in a manner determined by Chocolate Bash, which may include adopting bylaws or regulations prepared by Chocolate Bash. Decisions regarding the activities of the Market Cooperative are typically made by a majority vote of its members, though Chocolate Bash retains the right to make these decisions if the members cannot agree, after providing 10 days' notice.
Chocolate Bash has the right to attend and participate in any Market Cooperative meeting, and any Chocolate Bash-owned business within the cooperative's area has the same voting rights as its franchisees. Each business owner gets one vote per business owned, but a franchisee in default under their franchise agreement cannot vote. This structure ensures that franchisees contribute to and benefit from regional marketing efforts, while Chocolate Bash maintains oversight to ensure brand consistency and effective resource allocation.
Prospective franchisees should inquire about the existence of any current or planned Market Cooperatives in their target location. Understanding the governance, financial obligations, and marketing strategies of these cooperatives is crucial for budgeting and planning their local advertising efforts. Franchisees should also clarify Chocolate Bash's role in the cooperative's decision-making process and how it might impact their business.
