What This Means (2024 FDD)

According to the 2024 Chocolate Bash Franchise Disclosure Document, the termination of a Multi-Unit Development Agreement by CB Franchising does not automatically give CB Franchising the right to terminate the individual Franchise Agreement. This is an exception to the general rule that if CB Franchising terminates any agreement with the franchisee (or an affiliate) due to a breach of that agreement, it can terminate the Franchise Agreement.

This provision offers a degree of protection to Chocolate Bash franchisees who have both a Franchise Agreement and a Multi-Unit Development Agreement. If the franchisee fails to meet the development obligations outlined in the Multi-Unit Development Agreement, leading to its termination, the franchisee's existing Chocolate Bash franchise is not automatically terminated, providing a chance to continue operating their existing location.

This exception is significant because it acknowledges that development agreements and franchise agreements, while related, have distinct purposes. Failing to meet development targets should not necessarily jeopardize an already-operating Chocolate Bash franchise, as long as that franchise is in good standing. Prospective franchisees should still carefully review the conditions under which a Franchise Agreement can be terminated to fully understand their rights and obligations.
