What This Means (2024 FDD)
According to the 2024 Chocolate Bash Franchise Disclosure Document, Chocolate Bash retains sole discretion regarding legal action against parties infringing on its trademarks. Specifically, if a franchisee informs Chocolate Bash of a potential trademark infringement by a third party, Chocolate Bash has the authority to decide whether to initiate or participate in any legal claim against the infringing party.
This means that while franchisees are obligated to report any suspected trademark infringements, they do not have the right to independently pursue legal action to protect the Chocolate Bash brand. The control over legal proceedings related to trademark infringement rests exclusively with Chocolate Bash.
This arrangement is typical in franchising, as it allows the franchisor to maintain brand consistency and control legal strategy across the entire franchise system. A prospective franchisee should understand that they cannot take independent legal action to protect the Chocolate Bash trademarks, even within their territory. All decisions related to trademark enforcement are made by Chocolate Bash.
